Terms of Service & End User License Agreement
Terms governing access to and use of Nail Salon POS PRO.

These Terms of Service and End User License Agreement (“Terms”) form an agreement between the business or individual accepting them (“Merchant,” “you,” or “your”) and DHM GLONEX LLC, doing business as Nail Salon POS PRO (“Provider,” “we,” “us,” or “our”). They govern your use of the Nail Salon POS PRO website, web portal, Windows software and applications for supported devices (collectively, the “Services”). By installing, accessing or using the Services, you agree to these Terms.
1. Eligibility and authority
You must be legally able to enter a binding agreement and, if acting for a business, authorized to bind that business. You are responsible for your authorized users and for ensuring that each user follows these Terms.
2. License
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to use the Services for your internal business operations during the applicable subscription or authorized access period. The Services are licensed, not sold.
3. Merchant responsibilities
- Provide accurate account, business and billing information.
- Protect credentials, devices and administrator permissions.
- Use the Services and customer or employee data lawfully and provide required notices and consents.
- Verify prices, taxes, tips, payroll calculations, appointments, tickets and reports before relying on them.
- Maintain compatible hardware, internet access, operating systems and third-party accounts.
- Promptly report suspected unauthorized access or material errors.
4. Payments and Clover integration
When enabled, the Services may initiate payment functions through the merchant’s supported Clover environment. Card processing, settlement, chargebacks, refunds and payment-account services are provided under the merchant’s separate agreements with Clover and its payment providers. The Services do not authorize you to route Clover transactions to a different processor or to bypass applicable Clover controls. You are responsible for verifying each transaction and complying with card-brand, surcharge, cash-discount and payment laws.
5. Fees, subscriptions and taxes
Pricing, trial terms, billing frequency and included features are those presented through the applicable approved sales or App Market channel. You authorize applicable charges according to the selected plan. Except where required by law or expressly stated in the offer, fees are non-refundable after the service period begins. You are responsible for applicable taxes other than taxes on our net income.
6. Acceptable use
You may not: reverse engineer or attempt to extract source code except where law prohibits that restriction; bypass security or permissions; interfere with service operation; use the Services for fraud, unlawful content or unauthorized surveillance; introduce malicious code; copy or resell the Services except under a written agreement; or use data outside the merchant purposes for which it was collected.
7. Merchant data
As between the parties, Merchant retains rights in data submitted to the Services. Merchant grants Provider a limited right to host, process, transmit, back up and otherwise use that data to provide, secure and improve the Services, comply with law and fulfill Merchant instructions. Our handling of personal information is described in the Privacy Policy.
8. Third-party services
The Services may interoperate with Clover and other third-party services. We do not control their availability, terms, hardware, networks or decisions. A change or interruption in a third-party service may affect certain features. References to Clover describe compatibility or integration and do not imply that Clover endorses Provider.
9. Updates and changes
We may provide updates, patches or feature changes to improve security, compatibility or operation. Some updates may be required to continue using the Services. We may modify or discontinue features with reasonable notice when practical, subject to applicable law and App Market requirements.
10. Support
Support is available at support@nailsalonpospro.com. You agree not to send passwords, full card numbers, card security codes or one-time authentication codes. Support may request device, app, shop and ticket identifiers needed to investigate an issue.
11. Suspension and termination
We may suspend access for nonpayment, security risk, unlawful use, material breach, or conduct that threatens the Services or others. You may stop using the Services and cancel according to the channel through which you subscribed. Upon termination, the license ends. Provisions that by nature should survive—including ownership, confidentiality, payment obligations, disclaimers and liability limits—will survive.
12. Intellectual property
The Services, software, documentation, designs and trademarks are owned by Provider or its licensors and protected by law. No rights are granted except the limited license in these Terms. Clover and related marks are owned by their respective owners.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not guarantee uninterrupted operation or that reports, payroll calculations, tax fields or third-party data will be error-free. You must review business-critical outputs.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, revenue, data or goodwill. Provider’s aggregate liability arising from the Services will not exceed the amounts paid by Merchant for the affected Services during the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so they may not apply.
15. Indemnity
To the extent permitted by law, Merchant will defend and indemnify Provider from third-party claims arising from Merchant data, unlawful use, violation of customer or employee rights, or breach of these Terms, except to the extent caused by Provider’s own breach or misconduct.
16. Governing terms and conflicts
Your agreements with Clover separately govern Clover hardware, payment processing and Clover services. These Terms govern Nail Salon POS PRO and do not amend Clover’s agreements. If an App Market term must control a specific distribution or billing issue, that term controls only to the extent of the conflict.
17. Changes to these Terms
We may update these Terms. Material changes will be posted with a revised effective date and additional notice when required. Continued use after the effective date constitutes acceptance where permitted by law.
18. Governing law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles. Any dispute that is not subject to another binding dispute process required by an applicable App Market or payment agreement will be brought in the state or federal courts serving Gwinnett County, Georgia, and the parties consent to their jurisdiction, except where applicable consumer law requires otherwise.
